General terms of use — aOKtion
Version 2026-10
1. Who we are
aOKtion is a B2B auction platform of YENTXA OÜ (registry no. 17170367, VAT EE102833560), with registered office at Narva mnt 5, 10117 Tallinn, Estónia ("YENTXA"). Contact: info@aoktion.com.
2. Businesses only
The platform is exclusively for companies and professionals acting in the course of their business. Consumers may not register. Whoever registers the account declares they are authorised to represent and bind the company and is responsible for keeping their login details confidential.
Taking part is free: aOKtion charges participants no commissions or fees.
3. Verification and approval
Every company is verified before it can take part: VAT number in VIES (EU companies), commercial registry certificate, beneficial owners and EU financial sanctions lists. Checks are repeated periodically. YENTXA may request further documents and may reject or suspend an account, in particular in case of a match with sanctions lists, false information or breach of these terms. The company undertakes to report promptly any change to its data or beneficial owners.
4. YENTXA is the counterparty
aOKtion is not a marketplace between third parties. In sale auctions YENTXA sells and buyer companies bid upwards. In reverse auctions YENTXA buys and suppliers bid downwards. Each contract is concluded between the company and YENTXA.
5. Rules of each auction
Each auction has its own rules, published before it starts, which prevail over these terms in case of difference. They set out, among other things, the subject and quantities, delivery and payment terms, the starting or maximum price, the reserve price (if any), the minimum increment or decrement and automatic extension when bids are placed in the final minutes.
6. Bids
- Every bid is firm and binding on the company and cannot be withdrawn. It remains valid for the period stated in the rules — by default, 30 days after the close in reverse auctions and 15 days in sale auctions.
- All bids are logged with the server date and time; that log is conclusive evidence.
- Bidding directly or indirectly to artificially raise (or lower) the price, including through related accounts, and colluding with other participants are prohibited.
- Each participant only sees its own position; it does not see other offers or bidders.
7. Award
YENTXA decides after the close and confirms in writing (purchase order or pro forma invoice). In a sale auction, the best bid at or above the reserve price wins, as set out in the rules; below the reserve, YENTXA is not obliged to sell. In a reverse auction, YENTXA may consider price and other criteria stated in the rules and is not obliged to award.
8. Prices, payment and non-payment
- Amounts exclude VAT. For transactions between companies in different EU Member States, the reverse-charge mechanism applies where relevant.
- No deposit is required to take part.
- Payments are made by bank transfer, within the periods stated in the rules or the pro forma invoice.
- If the winning buyer does not pay on time (by default, within 7 days of the pro forma invoice), YENTXA may cancel the sale, sell the lot to another participant or re-auction it, and exclude the company from the platform, without prejudice to other rights.
9. Liability
YENTXA strives to keep the platform available and accurate but does not guarantee uninterrupted operation. If a technical failure affects an auction, YENTXA may suspend, extend or cancel it and will inform participants. Except in cases of wilful misconduct or gross negligence, YENTXA's liability towards each company is limited to the value of the contract concerned and excludes loss of profit and indirect damage.
10. Personal data
The processing of personal data is described in the privacy policy.
11. Changes and language
YENTXA may change these terms; material changes are notified to registered companies and only apply to auctions published after the change. These terms exist in Portuguese, English and Spanish; in case of divergence, the English version prevails.
12. Governing law
These terms are governed by Estonian law. Disputes are settled by the courts of Tallinn (Harju Maakohus), without prejudice to mandatory rules to the contrary.
